Terms of Service
1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding contract between you ("you", "Customer") and Palms Sky Conv, registered in Saint-Paul, Réunion (France) ("ConvertPalms", "we", "us") governing your use of convertpalms.click and related services (the "Service"). By using the Service you agree to these Terms and to our Privacy Policy.
2. Your account
An account is only required for the optional Pro tier. You must be at least 16 (13 in the US) to use the Service. You are responsible for keeping your credentials confidential and for all activity under your account.
3. The Service
ConvertPalms provides a browser-based generator for invoices, quotes, receipts, credit notes, estimates and proforma documents, plus optional Pro features (cloud-saved invoices, customers, recurring billing). We may add, modify, or remove features at any time.
4. Your content
You retain all rights to the invoice content and logos you process through the Service. You grant us a limited, world-wide, royalty-free license to host and process them solely for the purpose of providing the Service. We do not use your content to train machine-learning models, and we do not sell or share it for advertising.
You represent that you own (or have the right to use) all content you process and that doing so does not violate any law or third-party right.
5. Acceptable use
You agree not to:
- Use the Service to facilitate fraud, money-laundering, or any illegal activity;
- Generate documents that misrepresent identity, intent, or pricing;
- Upload malware or attempt to circumvent security measures;
- Reverse-engineer, decompile or scrape the Service except where permitted by law;
- Resell or sublicense the Service without our prior written consent.

6. Intellectual property
Palms Sky Conv and its licensors own all rights in the Service, including the software, design, trademarks and documentation. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
7. Fees & billing
The free tier is free. Paid (Pro) plans are described on our Pricing page. By choosing a paid plan you authorise us (and Stripe) to charge the applicable fees. Fees are quoted in USD unless stated otherwise. Subscriptions auto-renew until cancelled.
8. Cancellation
Cancel any time from your dashboard. Cancellation takes effect at the end of the current billing period; no pro-rated refunds for partial periods, except where required by law (see Refund Policy).
9. Warranty disclaimer
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Palms Sky Conv disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, Palms Sky Conv shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, or goodwill. Our aggregate liability shall not exceed the greater of (a) the fees you paid us in the 12 months preceding the event, or (b) USD 100. Mandatory consumer protections continue to apply.
11. Indemnity
You agree to indemnify Palms Sky Conv from any claims, damages, liabilities and expenses arising from (a) your content, (b) your use of the Service in breach of these Terms, or (c) your violation of any law or third-party right.
12. Term & termination
We may suspend or terminate your access immediately if you breach these Terms or if required by law. On termination your right to use the Service ends.
13. Governing law & dispute resolution
These Terms are governed by French law. The exclusive venue for any dispute is the competent courts of Saint-Denis (Réunion), France, subject to mandatory consumer-law rules. EU/UK consumers may also use the European ODR platform: ec.europa.eu/consumers/odr.
14. Changes
Material changes will be announced by email or in-app notice 14 days before they take effect.
